GENERAL SERVICE TERMS AND CONDITIONS<\/b><\/h2>\r\n<h2><b>1. Who We Are and Scope of Services<\/b><\/h2>\r\n<span style=\"font-size: 18px\"><b>1.1 Platform Operator<\/b><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\"> The website platform \u201c<\/span><b>OnlinePajak<\/b><span style=\"font-weight: 400\">\u201d is operated and maintained by our affiliate as a technology provider, which facilitates access to various features and services through the Site.<\/span><\/span>\r\n\r\n<span style=\"font-size: 18px\"><b>1.2 Service Provider<\/b><span style=\"font-weight: 400\">\r\n<\/span><b>AFS<\/b><span style=\"font-weight: 400\"> is a licensed Payment Service Provider under Bank Indonesia and is responsible for the provision of the following regulated services:<\/span><\/span>\r\n<ul>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-weight: 400;font-size: 18px\">payment processing services;<\/span><\/li>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-weight: 400;font-size: 18px\">remittance services; and<\/span><\/li>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-weight: 400;font-size: 18px\">compliance with applicable financial laws and regulations<\/span><\/li>\r\n<\/ul>\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">(collectively referred to as the \u201c<\/span><b>Services<\/b><span style=\"font-weight: 400\">\u201d).<\/span><\/span>\r\n\r\n<span style=\"font-size: 18px\"><b>1.3 Limitation of Applicability of Terms<\/b><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">These Terms and Conditions shall only apply to the extent you use the Services.<\/span><\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">For the avoidance of doubt:<\/span>\r\n<ul>\r\n \t<li style=\"font-weight: 300\"><span style=\"font-weight: 400;font-size: 18px\">Features, products, or services on the Site that are not provided by AFS may be subject to separate terms and conditions of the relevant service provider.<\/span><\/li>\r\n \t<li style=\"font-weight: 300\"><span style=\"font-weight: 400;font-size: 18px\">AFS shall not be responsible for any services that are not provided under its regulatory license.<\/span><\/li>\r\n<\/ul>\r\n<span style=\"font-size: 18px\"><b>1.4 Responsibility and Consumer Protection<\/b><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\"> To the extent that you use any Services:<\/span><\/span>\r\n<ul>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-weight: 400;font-size: 18px\">such services are provided by AFS under its regulatory license; and<\/span><\/li>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-size: 18px\"><span style=\"font-size: 18px\"><span style=\"font-weight: 400\">AFS remains fully responsible for the execution, reliability, and compliance of such services in accordance with applicable laws and regulations.<\/span><\/span><\/span><\/li>\r\n<\/ul>\r\n<span style=\"font-weight: 400;font-size: 18px\">Nothing in this structure shall:<\/span>\r\n<ul>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-weight: 400;font-size: 18px\">reduce or limit your rights as a consumer; or<\/span><\/li>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-weight: 400;font-size: 18px\">eliminate AFS\u2019s obligations as a licensed Payment Service Provider.<\/span><\/li>\r\n<\/ul>\r\n<span style=\"font-size: 18px\"><b>1.5 Contact<\/b><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\"> To contact us, please use the \u201cContact Us\u201d function available on the Site.<\/span><\/span>\r\n<h2><b>2. By using our Services, you accept these Terms<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">2.1. By using our Services, you will need to confirm that you accept these Terms and that you read, understand, agree and you agree to comply with and be bound by them. If you do not agree to these Terms, you must not continue to use our Services.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">2.2. We recommend that you print a copy of these Terms for future reference.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">2.3. I confirm that I am legally authorized to act on behalf of the company\/entity, or for myself (as relevant) based on applicable Indonesian laws, and to agree this Terms.<\/span>\r\n<h2><b>3. We may make changes to these Terms<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">3.1. We amend these Terms from time to time. Every time you wish to use our Services, please check these Terms to ensure you understand the terms that apply at that time.<\/span>\r\n\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">3.2. These Terms were most recently updated <\/span><span style=\"font-weight: 400\">April 20, 2026.<\/span><\/span>\r\n<h2><b>4. We may make changes to our Site and Services<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">4.1. We may update and change our Site and scope of Services offered from time to time to reflect changes to our products, our users\u2019 needs, our business priorities or in response to regulatory changes. We will try to give you reasonable notice of any major changes.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">4.2. Acceptance of Updated Terms and Applicability to Prior Data: By accepting these updated Terms and continuing to use the Services, you expressly acknowledge and agree that any and all data, information, or content you have submitted to us, or uploaded through the Services prior to your acceptance of these updated Terms, shall be governed by and subject to these updated Terms. You further agree that such previously submitted or uploaded data and information may be used, processed, and retained by us in accordance with the provisions of the updated Terms, including but not limited to any rights granted to us under the sections on Data Ownership and Usage.<\/span>\r\n<h2><b>5. We may suspend or withdraw our Site<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">5.1. Our Site is made available free of charge, and you may set up an account with us at no charge.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">5.2. We do not guarantee that our Site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">5.3. You are also responsible for ensuring that all persons who access our Site through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.<\/span>\r\n<h2><b>6. We may suspend or withdraw our Site<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">We may assign or transfer our rights and\/or obligations under these Terms to another party only upon prior written notification to you.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">In the event such transfer may materially affect your rights or obligations, we will obtain your consent, in accordance with applicable laws and regulations.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">We ensure that any transfer:<\/span>\r\n<ul>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-size: 18px\"><span style=\"font-weight: 400\">does not reduce the level of service; and<\/span><span style=\"font-weight: 400\">\r\n<\/span><\/span><\/li>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-size: 18px\"><span style=\"font-size: 18px\"><span style=\"font-weight: 400\">does not diminish your rights as a consumer.<\/span><\/span><\/span><\/li>\r\n<\/ul>\r\n<span style=\"font-weight: 400;font-size: 18px\">You have the right to object or terminate the Services without penalty if you do not agree to such transfer.<\/span>\r\n<h2><b>7. Purpose of our Site<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">Our Site and Services are directed at users required to pay tax to the Directorate General of Tax of the Republic of Indonesia. We do not represent that content available on or through our Site is appropriate for use or available in other jurisdictions.<\/span>\r\n<h2><span style=\"font-size: 24px\"><b>8. Access Credentials and Authorization<\/b><\/span><\/h2>\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">8.1. The Customer hereby authorizes the AFS to receive, store, process, and use any passcode, password, authentication key, token, certificate, or other access credentials (collectively, \u201c<\/span><b>Access Credentials<\/b><span style=\"font-weight: 400\">\u201d) issued in the Customer\u2019s name, solely for the purpose of accessing relevant government, regulatory, or third-party systems in order to perform the Services.<\/span><\/span>\r\n\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">8.2. The Customer represents and warrants that:<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\"> (a) it is the lawful holder or an authorized user of such Access Credentials;<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\"> (b) it has the full legal right, authority, and capacity to share such Access Credentials with the AFS; and<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\"> (c) the use of such Access Credentials by the AFS in accordance with these Terms does not violate any applicable laws, regulations, contractual obligations, or system terms imposed by the relevant authority or third party.<\/span><\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">8.3. The AFS shall use the Access Credentials strictly for the purpose of providing the Services and shall not use such Access Credentials for any other purpose.<\/span>\r\n\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">8.4. The Customer acknowledges and agrees that:<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">(a) the AFS acts solely as a technical service provider or facilitator when using the Access Credentials;<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">(b) any access, submission, retrieval, or interaction performed using the Access Credentials shall be deemed to be carried out on behalf of, and under the authority and responsibility of, the Customer; and<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">(c) any outputs, responses, system behavior, or technical results generated by government or third-party systems are outside the AFS\u2019s control and responsibility.<\/span><\/span>\r\n\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">8.5. The Customer shall remain fully responsible for:<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">(a) maintaining the confidentiality, security, and validity of all Access Credentials;<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">(b) any activity conducted using such Access Credentials, whether performed directly by the Customer or by any party authorized by the Customer; and<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">(c) any consequences arising from unauthorized access, misuse, expiration, suspension, or revocation of such Access Credentials. However, AFS shall remain responsible for any unauthorized access resulting from system failure, security breach, or internal misconduct.<\/span><\/span>\r\n\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">8.6. The AFS shall not be liable for any loss, damage, delay, or consequence arising from:<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">(a) the Customer\u2019s failure to maintain valid or accurate Access Credentials;<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">(b) restrictions, limitations, errors, or changes imposed by government or third-party systems; or<\/span><span style=\"font-weight: 400\">\r\n<\/span><span style=\"font-weight: 400\">(c) any action taken by such systems based on the use of the Access Credentials.<\/span><\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">Notwithstanding the above, we remain responsible for the secure handling, storage, and use of Access Credentials within our systems in accordance with applicable laws and industry standards.<\/span>\r\n<h2><b>9. You must keep your account details safe<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">9.1. If you choose, or you are provided with, a user identification code, password or any other piece of information (Security Code) as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party. We are not responsible for your negligence and\/or mistakes regarding the leakage or disclosure of your Security Code to third parties.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">9.2. We have the right to disable any Security Code, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.\u00a0<\/span>\r\n\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">9.3. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us via email (<\/span><a href=\"mailto:support@online-pajak.com\"><span style=\"font-weight: 400\">support@online-pajak.com<\/span><\/a><span style=\"font-weight: 400\">) or the chat function on the Site.<\/span><\/span>\r\n<h2><b>10. How you may use material on our Site<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">10.1. You may print off one copy, and may download extracts, of any page(s) from our Site for your personal use and you may draw the attention of others within your organisation to content posted on our Site.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">10.2. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">10.3. Our status (and that of any identified contributors) as the authors of content on our Site must always be acknowledged.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">10.4. Unless expressly permitted in the Subscription Terms (including under any Service Order contemplated in the Subscription Terms), you must not use any part of the content on our Site for commercial purposes without obtaining a license to do so from us or our licensors.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">10.5. If you print off, copy or download any part of our Site in breach of these Terms, your right to use our Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.<\/span>\r\n<h2><b>11. Information on this Site<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">11.1. The content on our Site is provided for general information only and is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action solely based on the content on our Site.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">11.2. This clause does not exclude or limit our responsibility where required under applicable consumer protection laws.<\/span>\r\n<h2><span style=\"font-size: 24px\"><strong>13. Roles and Capacity (Controller vs Processor)<\/b><\/h3>\r\n<span style=\"font-weight: 400;font-size: 18px\">Depending on the nature of the Services:<\/span>\r\n\r\n<span style=\"font-size: 18px\"><b>a. As Data Controller<\/b><\/span>\r\n\r\n<span style=\"font-size: 18px\">We act as a data controller where we determine the purposes and means of processing your personal data, including for:<\/span>\r\n<ul>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-weight: 400;font-size: 18px\">account management;<\/span><\/li>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-weight: 400;font-size: 18px\">provision and improvement of Services;<\/span><\/li>\r\n \t<li style=\"font-weight: 400\"><span style=\"font-weight: 400;font-size: 18px\">compliance with legal and regulatory obligations.<\/span><\/li>\r\n<\/ul>\r\n<span style=\"font-size: 18px\"><b>b. As Data Processor<\/b><\/span>\r\n\r\n<span style=\"font-size: 18px\">We act as a data processor where we process personal data solely on your behalf and in accordance with your documented instructions, including where you use our Services to process third-party data.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">In all cases, we will process personal data in accordance with applicable laws and regulations.<\/span>\r\n\r\n<span style=\"font-size: 18px\"><b>14.2. Which country\u2019s laws apply to any disputes?<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">These Terms, its subject matter and its formation (and any non-contractual disputes or claims) are governed by the laws of the Republic of Indonesia. The Parties agree to waive the provisions of Articles 1266 of the Indonesian Civil Code to the extent such articles require a court judgment to terminate the Terms.<\/span>\r\n<h2><b>27. Force Majeure<\/b><\/h2>\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">27.1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under the Terms that is caused by any act or event beyond our reasonable control (including, without limitation, technical problems or issues that directly and materially hinders our ability to provide the Services in accordance with the Terms (Force Majeure)<\/span><span style=\"font-weight: 400\">.\u00a0<\/span><\/span>\r\n\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">27.2. You may cancel the Terms affected by a Force Majeure which has continued for more than 120 days. To cancel please contact us. If you opt to cancel we will refund the price you have paid, less the charges reasonably and actually incurred us by performing the Services up to the date of the occurrence of the Force Majeure<\/span><span style=\"font-weight: 400\">.<\/span><\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">27.4. In the event of an Force Majeure (such as a mass blackout lasting more than 24 hours, sustained national chaos lasting 5 working days, etc.), the bankruptcy lawsuit to us or any condition that causes us to be unable to fulfill our obligations to you which entails our account being frozen by the relevant authorities, you as the owner of the escrow account number has the right and can submit a claim to the Indonesian Deposit Insurance Corporation (LPS) in accordance with the procedures determined by the LPS under Law No. 24 of 2004 on Indonesian Deposit Insurance Corporation as lastly amended by Government Regulation in Lieu of Law No. 1 of 2020 and Law No. 4 of 2023, buy only applicable where funds are held in partner banks participating in LPS.<\/span>\r\n<h2><b>28. Non-solicitation<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">You are prohibited from directly or indirectly soliciting, hiring, or engaging (whether as an employee, consultant, or freelancer) our or our affiliates\u2019 directors, employees, or consultants for the purpose of obtaining Services that are similar or competitive to the Services we provide. This restriction applies during the term of the Services and for a period of twelve (12) months after termination or expiration of the Terms.<\/span>\r\n<h2><b>29. Communications<\/b><\/h2>\r\n<span style=\"font-weight: 400;font-size: 18px\">29.1. Any notice or communication given whether you to us or we to you in connection with the Terms must be in writing and be delivered personally, by courier delivery service, or email.<\/span>\r\n\r\n<span style=\"font-weight: 400;font-size: 18px\">29.2. A notice or other communication is deemed to have been received:<\/span>\r\n\r\n<span style=\"font-size: 18px\"><span style=\"font-weight: 400\">(a) if delivered personally or delivery, on signature of a delivery receipt; or\r\n<\/span><span style=\"font-weight: 400\">(b) if sent by email, at 9.00 am the next working day after transmission.<\/span>28.3. If we waive any rights, we will only do so in writing, and that will not mean that we will automatically waive any right related to any later default by you.<\/span>\r\n\r\n<b>30.4. Third party rights<\/b><span style=\"font-weight: 400\">. The Terms are between you and us. Unless expressly stated otherwise in the Terms, no other person has any rights to enforce any of its terms.<\/span>\r\n\r\n<b>30.5. Language<\/b><span style=\"font-weight: 400\">. The Terms are in English and Bahasa Indonesia. In the event of inconsistency, Bahasa Indonesia version will prevail.<\/span>\r\n\r\n<b>30.6. Governing law and jurisdiction<\/b><span style=\"font-weight: 400\">.
